Commercial Intent Only

Our platform provides financing solutions exclusively for commercial, business, and corporate entities. We do not offer consumer credit, personal residential mortgages, or consumer-purpose retail loans.

Authorized Signing Authority

• You are at least 18 years old.
• You possess the legal authority to act on behalf of and bind your business or corporate entity.
• You have the authority to enter into applicable financial brokerage agreements on behalf of the business.

Geography

Our Services are restricted to validly registered businesses operating within the United States and Canada.

Trifecta Business Group operates as an independent commercial loan broker and matching platform that connects applicants with third-party funding sources.

No Offer to Lend

Trifecta Business Group is not a direct bank, depository institution, or direct corporate lender. We do not extend credit directly, issue lines of credit, guarantee loan approval, or guarantee that an applicant will receive funding. Submitting an application does not guarantee that financing will be offered or approved.

Independent Lending Decisions

Final financing decisions are made independently by the applicable lender. Loan terms, interest rates, collateral requirements, repayment structures, and other funding conditions are controlled exclusively by the underwriting policies of the independent lender providing the financing.

You are solely responsible for ensuring that all information submitted through our platform is accurate, complete, and truthful. By using our Services, you agree that:

• All uploaded bank records, revenue information, and tax documents are authentic and unaltered.
• All business and financial information provided is accurate to the best of your knowledge.
• You will not intentionally provide fraudulent financial information or falsified business details.
• You will not intentionally conceal active defaults or other material financial obligations.

Providing intentionally fraudulent financial information, falsified business descriptions, or concealing material financial information may constitute a breach of these Terms and may violate applicable federal, state, provincial, or other laws.

Free for Applicants

Access to our primary digital matching portal, use of website calculators, and submission of basic lending requests are provided free of charge to small business applicants, unless otherwise clearly disclosed before a transaction.

Lender Commissions

Our platform operations may be funded through referral, origination, or success-based commissions paid directly to Trifecta Business Group by partner lenders following the successful closing and funding of a transaction.

Broker Compensation

For independent brokers using our tools to route clients, we pass through 100% of the contractual lender referral fee received, less any explicitly agreed-upon system processing fees or seat fees disclosed during deal submission.

The Services and their underlying components are the exclusive intellectual property of Trifecta Business Group or its applicable licensors. This includes website architecture, visual components and designs, source code, embedded financial calculators, proprietary matching algorithms, databases, and brand assets.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use our website and Services for the purpose of evaluating and securing commercial financing. You may not, without prior written permission:

• Copy or reproduce our code or proprietary systems
• Reverse-engineer our database mechanisms
• Republish or redistribute proprietary website components
• Attempt to access or extract restricted data
• Use our intellectual property for competing commercial purposes

To the maximum extent permitted by applicable law in the United States and Canada, Trifecta Business Group and its officers, employees, agents, affiliates, and service providers shall not be held liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of the Services. This includes damages or losses resulting from:

• Loan Application Decisions — the denial, rejection, modification, or withdrawal of a business loan application by any lender within our network.
• System Availability — system downtime, scheduled maintenance, technical outages, network interruptions, or delays that may affect an active loan application or deadline.
• Market Conditions — changes in financial markets, interest rates, lender policies, or other market conditions that cause loan terms, pricing, or funding structures to change during a transaction.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without giving effect to its conflict-of-law principles.

Any legal dispute, controversy, or claim arising out of or relating to your use of our commercial brokering Services or these Terms shall be resolved through final and binding arbitration on an individual basis within the Commonwealth of Virginia, to the extent permitted by applicable law. By agreeing to these Terms, you waive any right to participate in a class action or class-wide arbitration, to the extent such waiver is legally enforceable.
